End User Licence Agreement (EULA)

Language and law: This English version is a translation of the German-language Austrian contract document. Selecting English does not change the applicable law. The German version is authoritative in the event of a discrepancy, to the extent permitted by mandatory law.

1. Provider and scope

This EULA governs use of the Skald software between NEWAYS Management und Beratungs GmbH, Reiherweg 14, Priel, 9431 Wolfsberg, Austria (“NEWAYS”), and the person who installs or uses Skald (“user”). It supplements the contract terms agreed for the relevant purchase or business licence.

2. Licence

For the duration and within the scope of the validly purchased or assigned Skald package, NEWAYS grants the user a non-exclusive, non-transferable right to install and use Skald for its intended purpose. Mandatory statutory rights remain unaffected.

If this general description conflicts with the specific licence and device entitlement shown in the Skald account, the specific entitlement prevails.

3. Permitted use

Skald may be used for the user’s own lawful purposes and under a valid business assignment. Circumventing licence, device, quota or security controls, sharing personal credentials, unlawfully processing recordings of others, or using Skald to infringe third-party rights is prohibited.

Reverse engineering, decompilation and modification are permitted only where mandatory law expressly allows them. Mandatory backup and interoperability rights remain unaffected.

4. Recordings and third-party rights

The user is responsible for ensuring that recording, transcription, translation, disclosure and other processing of audio and text are lawful. Required consents, notices and internal approvals must be obtained. Skald must not be used for covert or otherwise unlawful recordings.

5. Processing routes

Access keys and other secrets must not be disclosed to unauthorised persons.

6. Updates and technical requirements

Skald Desktop includes twelve months of feature updates from purchase; the last version provided during that period remains usable under the purchased perpetual licence. Subscriptions receive updates during their active term. Security, compatibility or legally required changes may require an update. Supported systems, hardware and third-party endpoints are stated in the current product documentation.

7. Availability and changes

Local functions may work without internet access. Sign-in, licence checks, updates, Skald EU, email and third-party services depend on network and provider availability. NEWAYS may change functions for security, legal or compatibility reasons provided the contractual purpose and mandatory consumer rights are preserved.

8. Warranty and liability

Statutory warranty rights and the supplementary provisions of the applicable Terms and Conditions apply. Liability is not limited where mandatory law prohibits a limitation, particularly for intent, gross negligence or personal injury.

9. End of entitlement

Entitlement ends upon expiry, termination, withdrawal, refund or valid suspension of the underlying contract, or when a business assignment is revoked. Perpetual licences continue subject to valid termination and this EULA. Installations and credentials no longer permitted must be removed.

10. Governing law and contact

Austrian law applies, excluding its conflict-of-law rules and the UN Convention on Contracts for the International Sale of Goods. For consumers, this choice of law applies only insofar as it does not deprive them of mandatory protection under the law of their habitual residence.
