Terms and Conditions for Businesses

Language and law: This English version is a translation of the German-language Austrian contract document. Selecting English does not change the applicable law. The German version is authoritative in the event of a discrepancy, to the extent permitted by mandatory law.
1. Scope
These Terms apply exclusively to contracts between NEWAYS Management und Beratungs GmbH, Reiherweg 14, Priel, 9431 Wolfsberg, Austria (“NEWAYS”), and businesses for Business BYO and Business EU. The purchaser confirms authority to represent the business. Consumer purchases are excluded from these packages.
2. Contract, prices and term
The scope, minimum quantity, seats, annual term and total price excluding VAT are shown before ordering. The contract is concluded after successful Stripe payment and electronic acceptance by NEWAYS. Business packages are billed annually in advance and renew for one year unless cancelled before the next renewal through the provided billing management.
3. Business BYO
Business BYO includes the stated Windows, administration, seat, device and policy functions. The customer provides the required Azure environment, contracts, permissions, endpoints and costs. NEWAYS protects centrally stored credentials and distributes them only under the assigned business policy.
4. Business EU
Business EU includes the stated Windows, Android, administration and Skald EU services. Monthly quotas are pooled per company according to the offer and seats. Unused monthly quotas expire; excess use is blocked unless otherwise expressly agreed.
NEWAYS voluntarily grants a full refund while no Skald EU processing has consumed any allowance. Requests must be sent to info@getskald.ai. The first allowance charge ends this voluntary promise. No statutory consumer right of withdrawal applies to this business purchase; mandatory warranty rights and other statutory claims remain unaffected.
5. Administration and users
The customer appoints authorised administrators, manages seats and devices and ensures access only by authorised users. Each user must accept the current EULA and acknowledge the Privacy Notice before using the app. The customer is responsible for employment, privacy and recording-law compliance.
6. Privacy and security
Where NEWAYS acts as processor, a data processing agreement including technical and organisational measures and a subprocessor list is supplied on request. The customer remains responsible for legal basis, notices, permissions, deletion concept and lawful configuration.
7. Availability and support
No specific SLA is promised without a separate written agreement. Planned maintenance, security measures, force majeure and failures of internet, Azure, Stripe, email or other third parties may affect availability. Support: info@getskald.ai.
8. Warranty and liability
The customer must inspect Skald promptly for material defects and report them with sufficient detail. NEWAYS will correct reproducible defects within a reasonable time or provide a reasonable workaround. NEWAYS has unlimited liability for intent, gross negligence and personal injury. For slight negligence, liability is limited—where lawful—to foreseeable loss from breach of material contractual duties and to the net fees paid in the previous twelve months. Mandatory liability remains unaffected.
9. Confidentiality
Both parties keep the other’s non-public technical, commercial and organisational information confidential and use it only to perform the contract. Statutory disclosure duties remain unaffected.
10. Governing law and jurisdiction
Austrian law applies, excluding the UN Convention on Contracts for the International Sale of Goods and conflict-of-law rules. The courts with subject-matter jurisdiction at NEWAYS’ registered office have exclusive jurisdiction for disputes with businesses.
