Terms and Conditions for Consumers

Language and law: This English version is a translation of the German-language Austrian contract document. Selecting English does not change the applicable law. The German version is authoritative in the event of a discrepancy, to the extent permitted by mandatory law.
1. Provider and scope
These Terms apply to paid contracts between consumers and NEWAYS Management und Beratungs GmbH, Reiherweg 14, Priel, 9431 Wolfsberg, Austria (“NEWAYS”), for Skald Desktop and Skald Plus. Business packages are offered exclusively to businesses.
2. Offer and conclusion
The product, functions, term, number of devices, total price including VAT and any recurring costs are shown immediately before the order carrying an obligation to pay. The contract is concluded when NEWAYS accepts and electronically confirms the order submitted through Stripe after successful payment. Input errors can be corrected before continuing to Stripe.
3. Packages
Skald Desktop is a perpetual licence for the purchased version, including twelve months of feature updates and use by one person on up to two Windows devices. Skald EU and Android are not included. Personal BYO Azure may be used within the stated scope; Azure contract and costs are not included.
Skald Plus is a monthly or annual subscription for one person with one Windows and one Android device, local Windows functions and the stated Skald EU functions and monthly quotas. Unused monthly quotas expire unless the offer states otherwise.
4. Prices, payment and invoices
The total price shown at checkout, including VAT, applies. Payments are processed by Stripe. Recurring charges are due at the start of each billing period. Invoices and payment receipts are provided electronically.
5. Term and cancellation
Skald Desktop is purchased once. Skald Plus runs monthly or annually as selected and renews for the same period unless cancelled before the next renewal through the provided billing management. Cancellation stops renewal; use generally continues until the paid period ends.
6. Provision
Digital provision follows payment confirmation, email verification and required EULA acceptance. Internet-dependent functions require available third-party and Skald services. Users are responsible for compatible devices and network access and, for BYO Azure, a suitable Azure account and its costs.
7. Right of withdrawal
Consumers generally have a statutory 14-day right of withdrawal from conclusion of the contract. Details, the model form and consequences are in the withdrawal information. Separate, unticked declarations are requested for immediate performance. For digital content, the right may expire when provision begins if statutory requirements are met. For ongoing services, it does not expire merely because performance starts; after withdrawal, a proportionate charge may apply for expressly requested services already supplied, taking account of Skald EU allowance already used. For Skald Plus, NEWAYS additionally grants a voluntary full refund while no Skald EU processing has consumed any allowance; requests may be submitted through /withdraw or info@getskald.ai. The first allowance charge ends only this voluntary promise; mandatory statutory rights remain unaffected.
8. Warranty, updates and support
Statutory warranty rights for digital services apply. Security updates and updates required to maintain conformity are provided for the period required by law and contract. Support requests may be sent to info@getskald.ai.
9. User duties
Users must protect credentials, process only lawful recordings and content, obtain required rights and consents and install security updates promptly. Misuse, circumvention of technical limits and infringement of third-party rights are prohibited.
10. Liability
NEWAYS is liable under statutory provisions. Limitations prohibited by law, particularly for intent, gross negligence and personal injury, are not agreed. For customer-configured BYO services, NEWAYS is not liable for availability, prices or configuration unless NEWAYS is responsible for the damage.
11. Dispute resolution and governing law
The EU online dispute resolution platform has been discontinued. NEWAYS does not currently participate compulsorily in alternative dispute resolution unless required by law. Austrian law applies. This choice does not deprive consumers of mandatory protection under the law of their habitual residence.
